1. Introduction
Welcome to Fractly ("Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our fractional real estate investment platform, including any content, functionality, and services offered on or through our website.
Fractly enables qualified investors to purchase fractional ownership interests in real estate properties through digital tokens. Each token represents a proportional ownership share in the underlying property.
2. Eligibility Requirements
To use our Platform, you must:
- Be at least 18 years of age (or the legal age of majority in your jurisdiction)
- Have the legal capacity to enter into binding contracts
- Not be a resident of any jurisdiction where our services are prohibited
- Successfully complete our Know Your Customer (KYC) verification process
- Not be on any sanctions or prohibited persons lists
3. Account Registration
When you create an account with us, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4. Investment Process
4.1 Token Purchases
When you purchase tokens on our Platform, you are acquiring fractional ownership interests in the specified real estate property. Each token represents a proportional share of ownership, entitling you to your share of rental income distributions and any appreciation upon property sale.
4.2 Payment Methods
We accept various payment methods including cryptocurrency (USDT, ETH, BTC) and traditional payment methods where available. All transactions are final once confirmed. Processing times may vary depending on the payment method used.
4.3 Minimum Investment
Each property may have different minimum investment requirements. These are clearly displayed on each property listing page. You must meet the minimum investment threshold to participate in any offering.
5. Ownership Rights
As a token holder, you are entitled to:
- Pro-rata share of net rental income distributions
- Pro-rata share of any capital gains upon property sale
- Access to property performance reports and documentation
- Voting rights on major property decisions (where applicable)
Token ownership does not grant you the right to occupy, use, or access the physical property. Properties are managed by professional property management companies on behalf of all token holders.
6. Distributions
Rental income distributions are made monthly or quarterly, depending on the property. Distributions are calculated after deducting property operating expenses, management fees, maintenance reserves, and platform fees. Distribution amounts may vary and are not guaranteed.
7. Fees
The following fees may apply:
- Platform Fee: 1-2% annually on assets under management
- Transaction Fee: Up to 1% on token purchases
- Property Management Fee: Varies by property (typically 5-10% of rental income)
- Withdrawal Fee: Minimum $5 or 1% of withdrawal amount
All applicable fees are disclosed before you complete any transaction. Fee structures may be updated with 30 days notice.
8. Risks
Investment Risk Warning: Investing in real estate involves significant risks. Property values can decrease, rental income is not guaranteed, and you may lose some or all of your investment. Past performance is not indicative of future results.

9. Liquidity and Exit
Real estate investments are inherently illiquid. While we may offer secondary market trading or buyback programs, we cannot guarantee that you will be able to sell your tokens at your desired price or timeline. Some properties may have lock-up periods during which sales are restricted.
10. Intellectual Property
All content on the Platform, including text, graphics, logos, and software, is owned by Fractly or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.
11. Limitation of Liability
To the maximum extent permitted by law, Fractly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or any investment decisions you make.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Dubai International Financial Centre (DIFC) jurisdiction. Any disputes shall be resolved through arbitration in Dubai.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
